Terms of Service

1. The service

Valbeck provides software for B2B prospect research, controlled outreach workflows, AI-assisted personalization, sequences, mailbox execution, CRM visibility, analytics, reporting, and related functionality. Features may change as the service is improved.

2. Accounts and authority

You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. If you use Valbeck for an organization, you represent that you have authority to accept these Terms for that organization.

3. Customer data and connected providers

You retain responsibility for the data you submit to Valbeck and for the third-party accounts and providers you connect. You authorize Valbeck to process that information as necessary to provide the actions you request.

Third-party services are governed by their own terms, pricing, usage limits, and policies. Unless expressly stated otherwise, charges from third-party providers are separate from Valbeck subscription fees and remain your responsibility.

4. Outreach and acceptable use

You are responsible for ensuring that your prospecting, outreach, data collection, and communications comply with applicable law, contractual obligations, platform rules, consent requirements, suppression requests, and industry standards.

You may not use Valbeck to send unlawful spam, mislead recipients, impersonate others, distribute malicious content, violate privacy or intellectual-property rights, interfere with the service, bypass security or usage controls, or facilitate unlawful activity.

5. Subscriptions, billing, and cancellation

Paid plans are billed according to the price, billing interval, and terms shown at checkout. Taxes may apply where required. Recurring subscriptions continue until canceled in accordance with the available billing controls or applicable checkout terms.

Cancellation stops future renewal but does not automatically create a refund for amounts already paid, except where required by law or expressly stated in a written refund policy or offer.

6. Service availability and changes

We work to keep Valbeck reliable and secure, but availability may be affected by maintenance, third-party outages, customer-connected providers, internet conditions, security events, or other circumstances. We may modify, suspend, or discontinue features when reasonably necessary, including for security, legal, technical, or operational reasons.

7. Intellectual property

Valbeck and its software, design, branding, and related materials are protected by applicable intellectual-property laws. These Terms give you a limited right to use the service during your authorized access; they do not transfer ownership of Valbeck intellectual property to you.

8. Confidentiality and security

Each party is responsible for using reasonable care with non-public information it receives through the service. You must not share passwords, API keys, mailbox credentials, verification codes, or other secrets with unauthorized persons.

9. Disclaimers

Valbeck is a software tool and does not guarantee prospect accuracy, email deliverability, campaign results, revenue, regulatory compliance, or uninterrupted operation of third-party services. AI-generated or data-provider-generated output can be incomplete or incorrect and should be reviewed before use.

10. Limitation of liability

To the maximum extent permitted by applicable law, Valbeck will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from use of the service. Any limitation that cannot lawfully apply will apply only to the extent permitted by law.

11. Suspension and termination

We may restrict or suspend access when reasonably necessary to address non-payment, security risk, misuse, legal requirements, or material violation of these Terms. You may stop using the service and cancel a paid subscription through the available billing controls, subject to the applicable billing terms.

12. Changes to these Terms

We may update these Terms to reflect service, legal, security, or operational changes. The effective date above will be revised when updated Terms are published. Material changes may also be communicated through the service or another reasonable channel when appropriate.
